1. Acceptance of Terms and Geographic Scope

These Terms and Conditions ("Terms") govern your access to and use of the website located at www.CarpenterEstateSolutions.com (the "Site"), owned and operated by Carpenter Estate Solutions, PLLC ("the Firm"). By accessing or using the Site, submitting an inquiry, scheduling a consultation, or otherwise communicating with the Firm through the Site, you agree to be bound by these Terms. If you do not agree to these Terms, please discontinue use of the Site.

The Site is controlled and operated from Dutchess County, New York. The Firm and its principal attorney, Todd W. Carpenter, Esq., are licensed to practice law solely in the State of New York. The legal services described on this Site are offered exclusively to individuals who reside in, or who hold assets or estates located in, the State of New York. Nothing on this Site should be construed as an offer to provide legal services in any jurisdiction where the Firm is not authorized to practice.

3. No Attorney-Client Relationship Formed by Use of This Site

Your use of this Site, your submission of an inquiry form, your scheduling of a consultation through the Clio Grow public scheduling link, your submission of an intake questionnaire, your sending of an email to the Firm, or your receipt of or reply to a text message from the Firm does NOT create an attorney-client relationship between you and Carpenter Estate Solutions, PLLC or Todd W. Carpenter, Esq.

An attorney-client relationship with the Firm is formed only upon (a) completion of a conflict-of-interest check, (b) mutual execution of a formal, written retainer or engagement agreement, and (c) if applicable, payment of any initial retainer or fee required under that agreement. Until all of these conditions have been satisfied, you should not consider yourself a client of the Firm, and the Firm assumes no duty to you, including no duty of confidentiality, except as described in Section 4 below.

4. No Privilege for Unsolicited Communications

​

Please do not submit any confidential, sensitive, or proprietary information to the Firm through the Site, by email, or by text message before a formal conflict check has been completed and a written engagement letter or retainer agreement has been signed by both you and the Firm.

Any information you voluntarily submit prior to the establishment of a formal attorney-client relationship is not protected by the attorney-client privilege and is not treated as confidential client information, except to the limited extent required by the New York Rules of Professional Conduct governing prospective clients (Rule 1.18). The Firm cannot guarantee that it will be able to represent you, particularly where a conflict of interest exists with an existing or former client, and the Firm reserves the right to decline any prospective engagement in its sole discretion.

5. SMS / Text Messaging Terms & Conditions

​

Program Description. By providing your mobile telephone number to the Firm through an intake form, contact form, or retainer agreement, you may receive text (SMS) messages from Carpenter Estate Solutions, PLLC related solely to administrative and transactional matters, including consultation scheduling, appointment reminders, document signing alerts, and client portal notifications. No marketing or promotional text messages are sent under this program.

Opt-In Consent. You opt in to receive SMS communications from the Firm by (a) voluntarily providing your mobile telephone number on an intake or contact form that includes an SMS consent disclosure, or (b) executing a retainer agreement that designates SMS as an approved method of communication for your matter. Consent to receive SMS messages is not a condition of retaining the Firm's services, except to the extent SMS is used for essential case-related scheduling and administrative communication after engagement.

Message Frequency. Message frequency varies based on consultation scheduling, case milestones, and transactional communication requirements.

​

Costs. Message and data rates may apply depending on your mobile carrier plan.

​

Opt-Out Instructions. You may opt out of receiving SMS communications at any time by replying "STOP" to any text message received from the Firm. Upon sending "STOP," you will receive a one-time confirmation text, and no further SMS messages will be sent unless you re-enroll.

Customer Support / Help. For help or assistance regarding text messages, reply "HELP" to any message or contact the office directly at (845) 489-0769 or Todd@CarpenterEstateSolutions.com.

Carrier Liability Limitation. Carriers (including, but not limited to, AT&T, Verizon, T-Mobile, and others) are not liable for delayed or undelivered messages.

​

Supported Carriers. Participating carriers include the major U.S. wireless carriers; coverage may not be available on all carriers or in all areas.

​

6. Intellectual Property

​

All content on the Site, including but not limited to text, graphics, logos, the Firm name and branding, page layout, and design, is the property of Carpenter Estate Solutions, PLLC or its licensors and is protected by United States copyright, trademark, and other intellectual property laws. You may view and print pages from the Site for your own personal, non-commercial, informational use, provided you do not modify, remove, or obscure any copyright, trademark, or other proprietary notice.

You may not reproduce, distribute, republish, scrape, data-mine, transmit, or create derivative works from any content on the Site for any commercial purpose, or in any manner that implies endorsement, sponsorship, or affiliation with the Firm, without prior written consent from the Firm.

7. Disclaimer of Warranties; Limitation of Liability

​

The Site and its content are provided on an "as is" and "as available" basis, without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, accuracy, or non-infringement. The Firm does not warrant that the Site will be uninterrupted, error-free, or secure.

To the fullest extent permitted by applicable law, the Firm and Todd W. Carpenter, Esq. shall not be liable for any direct, indirect, incidental, consequential, or punitive damages arising out of or related to your access to or use of, or inability to access or use, the Site, or your reliance on any information contained on the Site.

The Site may contain links to third-party websites or incorporate third-party tools (including Clio Grow's public scheduling interface) that are not owned or controlled by the Firm. The Firm is not responsible for the content, privacy practices, or terms of use of any third-party websites or services. Your use of such third-party websites or services is governed by their own respective terms and policies.

9. Indemnification

You agree to indemnify, defend, and hold harmless Carpenter Estate Solutions, PLLC and Todd W. Carpenter, Esq. from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with your violation of these Terms or your misuse of the Site.

10. Governing Law and Forum Selection

​

These Terms, and any dispute arising out of or relating to the Site or these Terms, shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict-of-laws principles. You agree that the exclusive jurisdiction and venue for any dispute arising out of or relating to these Terms or the Site shall lie in the Supreme Court of the State of New York, Dutchess County, or the United States District Court for the Southern District of New York, and you consent to the personal jurisdiction of such courts.

11. Modifications to These Terms

​

The Firm reserves the right to modify these Terms at any time, in its sole discretion. Any modifications will be effective upon posting to the Site, and the "Last Updated" date will be revised accordingly. Continued use of the Site following any modification constitutes acceptance of the revised Terms.

12. Severability

​

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision shall be enforced to the maximum extent permissible, and the remaining provisions shall remain in full force and effect.

13. Entire Agreement

​

These Terms, together with the Firm's Privacy Policy, constitute the entire agreement between you and the Firm regarding your use of the Site and supersede any prior agreements or understandings, whether written or oral, relating to the subject matter herein.
